Capital Increase by Private Subscription

São Paulo, November 16, 2012. Rossi Residencial S.A. (the “Company”), pursuant to the provisions of CVM Instruction no. 358, of January 3 2002, as amended, informs its shareholders and the market in general, that within the framework of the plan to increase the capital stock of the Company by R$ 600,000,000.00, in the form of the issue, for private subscription, of 150,000,000 new common shares in the capital stock of the Company (the “Shares”) (the “Capital Increase”), which are the subject matters of the Relevant Facts disclosed on September 5 2012 and October 22 2012, on the date hereof the Brazilian Antitrust Authority (Conselho Administrativo de Defesa Econômica – CADE) has published its pending approval.
