MATERIAL FACT

ROSSI RESIDENCIAL S.A. (BM&FBOVESPA: RSID3; OTC: RSRZY), a corporation headquartered at Avenida Major Sylvio Magalhães Padilha, n.º 5.200, Edifício Miami, Bloco C, Conjunto 31, Bairro Jardim Morumbi, in the city and state of São Paulo, with articles of incorporation filed at the State of São Paulo Board of Trade under Company Registry (NIRE) 35.300.108.078, inscribed in the roll of corporate taxpayers (CNPJ/MF) under no. 61.065.751/0001-80, registered as a category “A” public company with the Securities and Exchange Commission of Brazil (“CVM”) under code 01630-6 (“Company”), one of the leading real estate development and construction companies in Brazil, in compliance with Article 157, Paragraph 4 of Federal Law 6,404 of December 15, 1976, as amended, (“Brazilian Corporations Law”), and pursuant to Item III, Sole Paragraph, Article 2 of CVM Instruction 358 of January 3, 2002, as amended (“ICVM 358/02”), hereby announces the following to its shareholders and the market in general:

Today, the Company entered into a Contract for Financial and Strategic Advisory Services with RK Partners Assessoria Financeira e Gestão de Recursos Ltda. and with Maxcap Real Estate Investment Advisors Ltda. to advise the Company on restructuring and redefining its strategic objectives.

The Company further announces that, at this time, no decisions have been made regarding any negotiation or renegotiation of contracts, acquisition or divestment of assets or any other potential strategic operation involving the Company, its controlling shareholders or securities issued by the Company. The Company reaffirms that it will maintain the market informed of any events that may significantly influence the price of its securities or investors‘ decision to buy, hold, sell or exercise any rights entitled thereto arising from the ownership of securities issued by the Company or that have them as underlying asset, pursuant to the applicable laws.
