São Paulo, March 26, 2015 – Rossi Residencial S.A. (BM&FBovespa: RSID3; OTC: RSRZY), a corporation headquartered at Avenida Major Sylvio Magalhães Padilha, n.º 5.200, Edifício Miami, Bloco C, Conjunto 31, Bairro Jardim Morumbi, in the city and state of São Paulo, with articles of incorporation filed at the State of São Paulo Board of Trade under Company Registry (NIRE) 35.300.108.078, inscribed in the roll of corporate taxpayers (CNPJ/MF) under no. 61.065.751/0001-80, registered as a category “A” public company with the Securities and Exchange Commission of Brazil (“CVM”) under code 01630-6 (“Company”), one of the leading real estate development and construction companies in Brazil, pursuant to Article 157, Paragraph 4 of Federal Law 6,404 of December 15, 1976, as amended and to CVM Instruction 358 of January 3, 2002, as amended, regarding the information broadcasted by Bloomberg‘s website, which mentions Exame magazine as its source, hereby informs its shareholders and the market of the following:
The Company contacted its controlling shareholder (“Controlling Shareholder”), which informed that it has been conducting studies and assessing business opportunities involving the Company, which may or may not involve a capital increase.
As a result, in connection with the process of studying opportunities, the Controlling Shareholder informed that it has been in contact and engaged in initial discussions with possible investors.
Until now, these are merely preliminary discussions with possible investors, including the Cerberus fund. As such, no decision has been taken regarding any operation involving the Company, nor has any binding document been signed with any party in this regard.
The Company reaffirms that it will maintain the market informed of any events that may significantly influence the price of its securities or investors‘ decision to buy, hold, sell or exercise any rights entitled thereto arising from the ownership of securities issued by the Company or that have them as underlying asset, pursuant to the applicable laws.
