Notice to the Market – Change of Auditor

NOTICE TO THE MARKET

ROSSI RESIDENCIAL S.A. (“Company”), in accordance with articles 28 and 31 of CVM Instruction 308/1999, hereby informs its shareholders and the market in general that, at the meeting held on April 6, 2016, the Board of Directors approved the contracting of Grant Thornton Auditores Independentes for the audit of its financial statements for fiscal year 2016, replacing Deloitte Touche Tohmatsu Auditores Independentes (“Deloitte”). The new auditors will begin their activities with the review of the quarterly financial statements (ITRs) for the first quarter of 2016.

The replacement of the independent auditors was motivated by the need to reduce costs due to Brazil’s current economic scenario and the Company’s operational and financial restructuring process.

The Company also announces that it informed Deloitte of the change mentioned above and said company is aware of that fact and has no additional comments on the matter.
