Results of the Second Distribution and Auction of Unsubscribed Shares from the Capital Increase

São Paulo, January 29, 2013 – Rossi Residencial S.A. (BM&FBOVESPA: RSID3) ("Company"), in accordance with the Notice to Shareholders and Notice to the Market published on November 16, 2012 and January 15, 2013, respectively, announces to shareholders and the general market the following:

On January 18, 2013, the period expired for subscribing to the second distribution of unsubscribed shares from the capital increase of the Company, in which 353.502 shares were subscribed.

Of the proposed capital increase of 150,000,000 shares, to date 149,902,232 shares have been subscribed at the issue price of R$4.00 per share, for a total value of R$599,608,928.

The 97,768 shares not taken up will be sold in a special auction to be held on the BM&FBOVESPA S.A. – Securities, Commodities and Futures Exchange ("BM&FBOVESPA").

Unsubscribed shares to be sold in the auction

The special auction will be held on January 31, 2013 at 3 p.m., in accordance with the Manual of Operating Procedures and the Operating Regulations of the BM&FBOVESPA.The minimum price per share will be R$4.00. Bradesco S.A. CTVM will represent the Company at the auction. Investors wishing to participate in the auction should contact a brokerage firm authorized to operate on the BM&FBOVESPA to represent them in the auction.
